Introduction

This Terms of Service (TOS) agreement are between you (Client) and Visda Pty Ltd t/a Visda Technologies and its legal successors and assigns. Visda Technologies may do business under the names Visda Pty Ltd. By accepting this Terms of Service (TOS) electronically or in writing, and or by using Visda Technologies services, including but not limited to, submission of content to Visda Technologies design department, payment or authorization of payment, you (Client) agree to be bound by the following terms and conditions. The client also agrees that clients' electronic acceptance of this TOS shall have the same force and effect as if the client had agreed to this TOS in writing.

 

Description of Service

Visda Technologies designs, builds and hosts websites and provides other website-related services, including, but not limited to, support and modification of websites, e-commerce, flash, web-traffic reporting, database development, easy interface for updating the website, email accounts, and additional website-related services. The client understands that Visda Technologies services may include certain communications from Visda Pty Ltd such as advertisements, notices, service announcements, and newsletters. The client is responsible for obtaining access to Visda Technologies services that may involve 3rd party fees (including but not limited to, ISP, merchant accounts and gateways). The client is also responsible for all equipment and software necessary to access Visda Technologies services.

 

Electronic Delivery Policy

Visda Technologies is a website-related business and communicates with its Clients electronically. When Client accepts this TOS Client consents to receive electronically from Visda Technologies any notices, agreements, disclosures, or other communications (Notices). The client agrees that Visda Technologies may send electronic Notices in either of the following ways
1) To the email address provided to Visda Technologies at the time of sale or 2) to the new email address account Client set up through Visda Technologies. The client agrees to check the designated email addresses regularly for Notices. Notice from Visda Technologies is effective when sent by Visda Technologies, regardless of whether the Notice is read or received by Client.

Call Monitoring and Recording Privacy Policy

As part of Visda Technologies commitment to providing the best possible service Visda Technologies may monitor and record phone calls answered by Visda Technologies and made by Visda Technologies. Visda Technologies may also archive recorded voice mail messages. Visda Technologies calls for training purposes, to improve customer service, and to ensure an accurate record of Client calls, which may be needed to support transactions that take place over the phone. This allows Visda Technologies to identify how Visda Technologies can better serve its customers.

1. The Visda Technologies reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Website or any part thereof, including the provision of any Website Content, with or without notice to you. You agree that the Visda Technologies shall not be liable to you or to any third party for any such modification, suspension or discontinuance of the Website or any part thereof.
2. The Visda Technologies reserves the further right to make any amendments to the T&C at any time in its sole and absolute discretion, with or without notice to you. The most current version of the T&C as posted on this page shall supersede all previous versions.
3. It is your responsibility to check regularly to determine whether a new version of the T&C has been uploaded. If you do not agree to any revisions pursuant to the upload of a new version of the T&C, then you must immediately stop using the Website.
4. You agree that the Visda Technologies shall not be liable to you or to any third party for any such modification, suspension or discontinuance of the Website, and/or amendments to the T&C. Your continued use of the Website after such modifications or amendments shall constitute an acceptance of your agreement to be bound by the T&C, as amended.

Suspension and termination

1. You agree that the Visda Technologies may, under certain circumstances and without prior notice, suspend or immediately terminate your access to the Website and remove any associated User Content, including any profiles, works, information or contact details thereof.
2. Cause for such suspension or termination shall include, but not be limited to:
o (a) breaches or violations of the T&C, Privacy Policy and/or any other agreements entered into between you and the Visda Technologies;
o (b) requests by law enforcement or other government agencies;
o (c) discontinuance of the Website (or any part thereof); and
o (d) unexpected technical or security issues or problems.
3. You agree that all such suspensions or terminations shall be made at the Visda Technologies’s sole discretion and that the Visda Technologies shall not be liable to you or any third party for any such suspension or termination.

Refunds on termination

1. Visda Technologies provides full (100%) refund only if notice of termination is received in 10 calendar days after the payment and no work has started.
2. In case of any other refunds requested after the 10 calendar days, Visda Technologies reserves the right for a partial refund (10% Admin fees plus number of hours worked), if and only if Visda Technologies’s staff have worked on your project including but not limited to research, meetings, creation of documentation, layout creation, hosting set up and phone calls with you.

 

Unacceptable Practices

As Visda Technologies Pty.Ltd strives to offer the very best service, certain guidelines and policies must govern Visda Technologies Pty.Ltd's efforts and relationships with its clients. Practices that violate these guidelines and policies are strictly forbidden and may result in the immediate termination of Visda Technologies Pty.Ltd services. Such decisions are at the sole discretion of Visda Technologies Pty.Ltd.
